Terms of Service

These Terms of Service (the “Terms”) form a binding legal agreement between you and BeGlobal HQ, Inc., a Delaware corporation with offices in Dover, Delaware, USA (“BeGlobal,” “we,” or “us”). They govern your access to and use of our website at beglobal.work, our applications, our hiring platform, and any related services (collectively, the “Services”).
By accessing the Services, creating an account, submitting a brief, applying as an engineer, or otherwise indicating acceptance, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Who these Terms apply to
BeGlobal operates a talent placement marketplace that introduces vetted engineers (“Engineers”) to companies seeking to hire (“Clients”). These Terms apply to anyone who uses the Services, including Clients, Engineers, and casual website visitors. Specific sections apply only to a particular user type and are labelled accordingly.
2. Eligibility
- You must be at least 18 years old and able to enter into a binding contract under the laws of your jurisdiction.
- If you act on behalf of a company, you represent that you are authorized to bind it to these Terms.
- The Services are not directed at any party located in a jurisdiction that prohibits use of services like ours.
3. Account registration
To use most features you must create an account and supply accurate, current information. You are responsible for all activity that occurs under your account and for keeping your credentials secure. Notify us promptly at [email protected] if you suspect unauthorized access.
4. Services for Clients
4.1 Placement service
BeGlobal screens, sources, and presents shortlists of Engineers for Client roles. Clients evaluate, interview, and hire Engineers directly. We are not an employment agency, professional employer organization (PEO), or temporary staffing firm. Engineers are not BeGlobal employees.
4.2 Placement fee
Unless a separate written agreement says otherwise, the standard placement fee is 20% of the Engineer's first-year compensation, payable within thirty (30) days of the Engineer's start date. “Compensation” means base salary plus any guaranteed cash bonuses, but excludes equity. A discounted rate of 15% applies to Clients introduced through an approved partner network.
4.3 Replacement guarantee
If a Client and an Engineer terminate their working relationship within three (3) months of the Engineer's start date for any reason other than the Client's breach, BeGlobal will source one replacement at no additional placement fee. The Client must notify us in writing within fourteen (14) days of the termination. Replacement is our exclusive remedy and is not refundable for cash.
4.4 No-bypass
Clients agree not to engage, hire, retain, refer, or contract with any Engineer introduced through BeGlobal, directly or through a third party, without paying the applicable placement fee. This obligation survives for twenty-four (24) months after the introduction. A breach entitles BeGlobal to the full placement fee plus reasonable enforcement costs.
5. Services for Engineers
By applying to the BeGlobal network, you grant us a non-exclusive right to present your profile, GitHub work product, video assessment, and rate expectations to prospective Clients. You may withdraw your profile at any time by emailing [email protected].
You acknowledge that BeGlobal does not guarantee placement and does not act as your employer or contractor counterparty. The Engineer's relationship with the Client is established directly between them, optionally facilitated through one of BeGlobal's compliance partners (e.g. Deel, JumpStart Immigration).
6. Acceptable use
You agree not to:
- Submit false or misleading information about your identity, experience, or credentials.
- Use automated means to scrape, harvest, or reproduce Engineer profiles or Client data.
- Circumvent the placement-fee obligations described in Section 4.
- Use the Services to discriminate against any person on a protected basis, harass any user, or violate applicable law.
- Reverse-engineer, decompile, or attempt to derive the source of the Services.
7. Intellectual property
BeGlobal and its licensors own all rights, title, and interest in the Services, including underlying software, branding, content, and the vetting methodology. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services solely as permitted by these Terms.
Content you submit (profiles, briefs, feedback) remains yours, but you grant BeGlobal a worldwide, royalty-free license to host, reproduce, and display it to operate the Services and to derive aggregated, non-identifying insights.
8. Fees, taxes, and payment
Clients are responsible for all applicable taxes, duties, and withholdings on fees paid to BeGlobal, except for taxes on BeGlobal's net income. Late payments accrue interest at the lesser of 1.5% per month or the maximum permitted by law. Disputes about an invoice must be raised within thirty (30) days of receipt or the invoice is deemed accepted.
9. Confidentiality
Each party agrees to protect the other's non-public information (including Engineer profiles and Client briefs) with the same care it uses for its own confidential information, and not to disclose it except as needed to perform under these Terms or as required by law.
10. Warranties and disclaimers
BeGlobal performs the vetting and matching Services with reasonable care and skill. Beyond that, the Services are provided “as is” and “as available.” We make no warranty that an Engineer will succeed in any role, that any role will be filled in any specific timeframe, or that the Services will be uninterrupted or error-free.
11. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to these Terms. Each party's aggregate liability for direct damages will not exceed the greater of (a) the fees paid to BeGlobal in the twelve (12) months before the event giving rise to the claim, or (b) USD $10,000.
12. Indemnification
You will defend, indemnify, and hold harmless BeGlobal and its officers, directors, employees, and agents from any third-party claim arising out of (i) your breach of these Terms, (ii) your violation of any law, or (iii) any employment, contractor, or compensation dispute between you and another user of the Services.
13. Termination
Either party may terminate these Terms at any time. Sections that by their nature should survive (including fees due, no-bypass, IP, confidentiality, liability, indemnity, and dispute resolution) will survive termination.
14. Governing law and dispute resolution
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. Any dispute will be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules, seated in San Francisco, California, in English. You and BeGlobal each waive any right to a jury trial and to participate in a class action. Either party may seek injunctive relief in a court of competent jurisdiction to protect IP or confidential information.
15. Changes
We may update these Terms from time to time. We will post the updated version with a new effective date. Material changes will be notified by email to account holders. Continued use of the Services after the new effective date constitutes acceptance.
